{"id":996,"date":"2023-08-02T12:15:41","date_gmt":"2023-08-02T04:15:41","guid":{"rendered":"https:\/\/www.99.co\/singapore\/glossary\/?p=996"},"modified":"2023-08-02T12:15:42","modified_gmt":"2023-08-02T04:15:42","slug":"sub-sale-properties","status":"publish","type":"post","link":"https:\/\/www.99.co\/singapore\/glossary\/sub-sale-properties\/","title":{"rendered":"Sub-sale properties"},"content":{"rendered":"\n<h2 class=\"wp-block-heading\"><strong>What are sub-sale properties? <\/strong><\/h2>\n\n\n\n<p>According to the <a href=\"https:\/\/www.99.co\/singapore\/glossary\/urban-redevelopment-authority-ura\/\" target=\"_blank\" rel=\"noreferrer noopener\">Urban Redevelopment Authority (URA)<\/a>, a sub-sale refers to the sale of a unit by an individual who has agreed to purchase it from a developer or a subsequent buyer before the property&#8217;s official completion and the issuance of all necessary certificates.<\/p>\n\n\n\n<p>These certificates include the <a href=\"https:\/\/www.99.co\/singapore\/glossary\/certificate-of-statutory-completion-csc\/\" target=\"_blank\" rel=\"noreferrer noopener\">Certificate of Statutory Completion<\/a> and the <a href=\"https:\/\/www.99.co\/singapore\/glossary\/subsidiary-strata-certificates-of-title\/\" target=\"_blank\" rel=\"noreferrer noopener\">Subsidiary Strata Certificates of Title<\/a> or the Certificates of Title for all units in the development.<\/p>\n\n\n\n<p>To put it simply, a sub-sale property occurs when the initial buyer of a new launch property opts to sell it to another buyer before the construction of the unit is completed.<\/p>\n\n\n\n<p>Recommended article: <a href=\"https:\/\/www.99.co\/singapore\/insider\/sub-sale-property-sellers-buyers\/\" target=\"_blank\" rel=\"noreferrer noopener\"><em>Sub-sale: What property sellers and buyers need to know<\/em><\/a><\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-what-is-the-difference-between-sub-sale-properties-and-resale-properties\"><strong>What is the difference between sub-sale properties and resale properties?&nbsp;<\/strong><\/h2>\n\n\n\n<p>As mentioned previously, sub-sale properties involve transactions where a buyer of a new development chooses to sell the unit to another buyer before the development is completed or before the issuance of all necessary certificates.&nbsp;<\/p>\n\n\n\n<p>In contrast to resale properties, sub-sales also entail the participation of three parties:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The original buyer (or seller).<\/li>\n\n\n\n<li>&nbsp;The buyer of the sub-sale property (or sub-purchaser).<\/li>\n\n\n\n<li>&nbsp;The developer.<\/li>\n<\/ul>\n\n\n\n<p>This three-party involvement sets sub-sales apart from the more straightforward resale property transactions where the seller simply puts a completed unit up for sale.&nbsp;<\/p>\n\n\n\n<p>Additionally, it&#8217;s important to note that the original buyer may be required to pay Seller&#8217;s Stamp Duty (SSD) since they haven&#8217;t owned the property for at least 4 years, which might lead to an increased price to cover costs and <a href=\"https:\/\/www.99.co\/singapore\/glossary\/break-even-price\/\" target=\"_blank\" rel=\"noreferrer noopener\">break-even<\/a>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-how-do-sub-sale-properties-function\"><strong>How do sub-sale properties function?&nbsp;<\/strong><\/h2>\n\n\n\n<p>To initiate a sub-sale, the original buyer must sign the <a href=\"https:\/\/www.99.co\/singapore\/glossary\/sales-and-purchase-agreement-spa\/\" target=\"_blank\" rel=\"noreferrer noopener\">Sale and Purchase Agreement (S&amp;PA)<\/a> and settle the relevant stamp duties. Since the property is not yet completed, the original buyer lacks the property&#8217;s legal title (or the Certificate of Statutory Completion). After expressing the intent to sell, the original buyer informs the developer.<\/p>\n\n\n\n<p>Once a sub-purchaser shows interest in buying from the original buyer, they both enter into an <a href=\"https:\/\/www.99.co\/singapore\/glossary\/option-to-purchase-otp\/\" target=\"_blank\" rel=\"noreferrer noopener\">Option to Purchase Agreement (OTP)<\/a>. Upon the sub-purchaser&#8217;s request, the developer creates a new S&amp;PA with the sub-purchaser, mirroring the terms and conditions of the original S&amp;PA between the original buyer and the developer.<\/p>\n\n\n\n<p>Once the sub-purchaser signs the S&amp;PA, they will receive the keys to the unit upon completion. Here&#8217;s the typical sequence of a sub-sale property:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>The original buyer signs the S&amp;PA with the developer.<\/li>\n\n\n\n<li>&nbsp;The original buyer pays the relevant <a href=\"https:\/\/www.99.co\/singapore\/glossary\/buyers-stamp-duty-bsd\/\" target=\"_blank\" rel=\"noreferrer noopener\">stamp duties<\/a> to the <a href=\"https:\/\/www.99.co\/singapore\/glossary\/inland-revenue-authority-of-singapore-iras\/\" target=\"_blank\" rel=\"noreferrer noopener\">Inland Revenue Authority of Singapore (IRAS)<\/a>.<\/li>\n\n\n\n<li>&nbsp;The original buyer informs the developer of the intention to make a sub-sale to the new buyer (sub-purchaser) and becomes the seller.<\/li>\n\n\n\n<li>&nbsp;The seller and sub-purchaser enter into an OTP agreement with a sub-sale clause.<\/li>\n\n\n\n<li>&nbsp;The developer needs to enter into a new S&amp;PA with the sub-purchaser.<\/li>\n\n\n\n<li>&nbsp;The seller\/buyer provides a cashier&#8217;s order to the other party, depending on the difference between the selling price and the original price of the unit.<\/li>\n<\/ol>\n\n\n\n<p>The information provided was accurate at the time of publication.
