{"id":33449,"date":"2022-07-15T17:00:00","date_gmt":"2022-07-15T09:00:00","guid":{"rendered":"https:\/\/www.99.co\/blog\/singapore\/?p=33449"},"modified":"2024-10-24T15:17:35","modified_gmt":"2024-10-24T07:17:35","slug":"option-to-purchase-5-things-you-didnt-know-but-really-should","status":"publish","type":"post","link":"https:\/\/www.99.co\/singapore\/insider\/option-to-purchase-5-things-you-didnt-know-but-really-should\/","title":{"rendered":"Option To Purchase: 5 things you might not know about (but really should)"},"content":{"rendered":"<div id=\"bsf_rt_marker\"><\/div>\n<p>The Option To Purchase (OTP) is not something we think about often; at least until <em>something goes wrong<\/em>. Then we&#8217;re making sobbing noises, begging for our lost deposit, and fuming about &#8220;how the stupid thing can work that way&#8221;.<\/p>\n\n\n\n<p>Thing is, both new <em>and <\/em>seasoned homebuyers should pay more attention to this initial stage of a property transaction, because the OTP isn&#8217;t always as straightforward as it seems.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-1-the-otp-is-not-standardised-for-private-property-transactions\"><strong>1. The OTP is not standardised for private property transactions<\/strong><\/h2>\n\n\n\n<p>When buying private property, the OTP is not a standardised document. The OTP prepared by the seller&#8217;s lawyer, and your own lawyer is supposed to review it and recommend changes to protect you. <\/p>\n\n\n\n<p>You shouldn&#8217;t <em>assume <\/em>that the terms in the OTP are &#8220;all the same&#8221; and sign it without consulting with your lawyer.<\/p>\n\n\n\n<p>For example, the &#8220;norm&#8221; of a 14-day option period for an OTP is not mandatory, and can be longer. In a recent sale of a S$28 million penthouse to Vicky Zhao&#8217;s husband, the OTP was originally signed <a href=\"https:\/\/www.asiaone.com\/entertainment\/vicki-zhaos-hubby-buys-28-million-penthouse-singapore\" target=\"_blank\" rel=\"noreferrer noopener\"><em>three years<\/em><\/a> prior to purchase, although, in reality, sellers&#8217; agents will give you the cold shoulder if you suggest anything longer than two months.<\/p>\n\n\n\n<p><strong>Other variables in the OTP include:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The possession period of the seller (i.e. when they have to vacate and leave the property to you)<\/li>\n\n\n\n<li>The payment method, including the rest of the down payment (this should be an escrow account for the buyer&#8217;s safety)<\/li>\n\n\n\n<li>Using the &#8220;as is where is&#8221; basis for the property transaction (i.e. whether you are accepting the property in its current state, or whether you will accept it only on certain conditions, such as the seller first repairing fire damage)<\/li>\n<\/ul>\n\n\n\n<p>These issues should all be clarified with your lawyer, who will then send the OTP back with proposed changes.<\/p>\n\n\n\n<p>Note that this doesn&#8217;t apply to HDB properties, for which a standard OTP document is used (this is available on the <a href=\"https:\/\/www.hdb.gov.sg\/cs\/infoweb\/residential\/selling-a-flat\/selling-process\/option-to-purchase\" target=\"_blank\" rel=\"noreferrer noopener\">HDB website<\/a>).<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-2-offer-to-purchase-is-sometimes-abbreviated-as-otp-as-well-but-is-different-and-can-affect-the-actual-option-to-purchase\"><strong>2. Offer to Purchase is sometimes abbreviated as &#8220;OTP&#8221; as well, but is different and can affect the actual Option to Purchase<\/strong><\/h2>\n\n\n<div class=\"wp-block-image wp-image-8050\">\n<figure class=\"aligncenter\"><img decoding=\"async\" width=\"950\" height=\"633\" src=\"https:\/\/www.99.co\/singapore\/insider\/wp-content\/uploads\/2015\/09\/letter-of-intent.jpg\" alt=\"letter of intent\" class=\"wp-image-8050\" srcset=\"https:\/\/www.99.co\/singapore\/insider\/wp-content\/uploads\/2015\/09\/letter-of-intent.jpg 950w, https:\/\/www.99.co\/singapore\/insider\/wp-content\/uploads\/2015\/09\/letter-of-intent-600x400.jpg 600w, https:\/\/www.99.co\/singapore\/insider\/wp-content\/uploads\/2015\/09\/letter-of-intent-940x626.jpg 940w, https:\/\/www.99.co\/singapore\/insider\/wp-content\/uploads\/2015\/09\/letter-of-intent-440x294.jpg 440w\" sizes=\"(max-width: 950px) 100vw, 950px\" \/><figcaption class=\"wp-element-caption\">The Offer to Purchase is sometimes also called the OTP, but it&#8217;s not the same. Take note of its wording nonetheless.<\/figcaption><\/figure><\/div>\n\n\n<p>The Offer to Purchase is a letter from the buyer to the seller, signalling serious intent to purchase the property. <strong>The Offer to Purchase is <em>not <\/em>usually considered the binding legal agreement, whereas the Option to Purchase is.<\/strong> <\/p>\n\n\n\n<p>Also, note that the Option to Purchase is drafted by the <strong>seller&#8217;s lawyer<\/strong>, whereas the Offer to Purchase is from the buyer to the seller (it&#8217;s often drafted by the <strong>buyer&#8217;s agent<\/strong>).<\/p>\n\n\n\n<p><strong>The wording in the Offer to Purchase can, however, affect the subsequent Option to Purchase.<\/strong> The most famous example of this was in 2013, when an Offer to Purchase stipulated that the &#8220;option period&#8221; for a transaction should be &#8220;three days&#8221;.<\/p>\n\n\n\n<p>Well, the buyer <a href=\"https:\/\/www.straitstimes.com\/singapore\/watch-the-wording-in-offer-to-purchase-letter\" target=\"_blank\" rel=\"noreferrer noopener\">got three days all right<\/a>, and the Chinese New Year break saw the OTP expire before it was exercised. Had the Offer to Purchase included the term &#8220;<em>subject to contract<\/em>&#8220;, that wouldn&#8217;t have happened.<\/p>\n\n\n\n<p>Given that the Offer to Purchase and OTP come in quick succession, make sure you don&#8217;t mistake one for the other. Again, make sure your lawyer sees every piece of paper relevant to the transaction before you sign and send.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-3-the-option-fee-isn-t-always-1-it-s-negotiable\"><strong>3. The option fee isn&#8217;t always 1%, it&#8217;s negotiable<\/strong><\/h2>\n\n\n\n<p>It&#8217;s entirely possible for an OTP to require a bigger option fee (i.e. deposit) than the usual 1% for a private property transaction.<\/p>\n\n\n\n<p>The buyer may even negotiate the amount of the deposit for other concessions. For example:<\/p>\n\n\n\n<p>Say you want to purchase the property and you&#8217;re 100% certain. However, you need extra time to sell your existing property, as you need the cash proceeds first. However, the seller is unwilling to wait so long; they don&#8217;t want to risk taking the property off the market for a long time for you, only to find out you&#8217;re backing out later.<\/p>\n\n\n\n<p><strong>&#8220;Where a significantly longer option or completion period is required, a common request from sellers are an increase in option fee or both option and exercise fees,&#8221; said <a href=\"http:\/\/www.stuartchng.com\/blog\" target=\"_blank\" rel=\"noreferrer noopener\">Stuart Chng<\/a>, Founder of Navis Living Group at OrangeTee.<\/strong><\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>&#8220;The higher fees are to justify the sellers&#8217; opportunity cost or mitigate their risks in case the buyer backs out,&#8221; he added.<\/p>\n<cite>Stuart chng, navis living group<\/cite><\/blockquote>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-4-for-new-launches-a-reservation-scheme-means-re-issuing-or-renewing-a-lapsed-otp\"><strong>4. For new launches, a &#8220;reservation scheme&#8221; means re-issuing or renewing a lapsed OTP<\/strong><\/h2>\n\n\n\n<p>In many showflats, you may hear the term &#8220;reservation scheme&#8221;. This is to allow buyers to &#8220;<em>chope<\/em>&#8221; a unit, even if they don&#8217;t have immediate financing to buy it.<\/p>\n\n\n\n<p>The reservation scheme <strong>does <em>not<\/em><\/strong><em> <\/em>mean you can reserve the unit without an OTP. Most of the time, it just means the developer will renew or re-issue the OTP whenever it lapses (there may be a fee for this, such as S$300 each &#8220;extension&#8221;).<\/p>\n\n\n\n<p>Note that repeated extensions can get very expensive, such as if the OTP is valid for two weeks each time, but you keep renewing it over a month or two.<\/p>\n\n\n\n<p><strong>Also, be aware that you <em>are\u00a0<\/em>still signing an OTP, so your initial deposit, plus the costs you incur for extension or re-issue of the OTP, are non-refundable.<\/strong><\/p>\n\n\n\n<p>These schemes are okay if you need extra time while working out the sale of your existing home, already have loan approval, but want to hunt for a lower interest rate, etc. But don&#8217;t put your money down if you&#8217;re <em>not even sure you can get a loan<\/em>, as you&#8217;ll still lose the deposit if you don&#8217;t exercise the OTP.<\/p>\n\n\n\n<p>It&#8217;s definitely not &#8220;free to <em>chope<\/em>&#8220;.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-5-how-you-treat-the-cheques-matter-as-much-as-your-signature\"><strong>5. How you treat the cheques matter as much as your signature<\/strong><\/h2>\n\n\n<div class=\"wp-block-image wp-image-22627\">\n<figure class=\"aligncenter\"><img decoding=\"async\" width=\"2122\" height=\"1412\" src=\"https:\/\/www.99.co\/singapore\/insider\/wp-content\/uploads\/2019\/01\/Cheques.jpg\" alt=\"Signing a check\" class=\"wp-image-22627\"\/><figcaption class=\"wp-element-caption\">If you cash the buyer&#8217;s cheque, you&#8217;ve accepted the OTP even if you haven&#8217;t actually signed.<\/figcaption><\/figure><\/div>\n\n\n<p><strong>If you&#8217;re the seller, and you bank in the cheque for the OTP deposit, <em>you&#8217;ve already agreed to it<\/em>.<\/strong> It doesn&#8217;t matter whether you put your signature on the document. This was established <a href=\"https:\/\/www.supremecourt.gov.sg\/docs\/default-source\/module-document\/judgement\/2008-sghc-222.pdf\" target=\"_blank\" rel=\"noreferrer noopener\">in a case in 2008<\/a>, when the seller instructed the property agent to bank in the cheque but didn&#8217;t sign the OTP yet.<\/p>\n\n\n\n<p>As such, don&#8217;t bank it in <em>before<\/em> you&#8217;ve scrutinised the OTP with your lawyer, and are fully satisfied with the terms.<\/p>\n\n\n\n<p>Also, for transactions using cheques, note that you <em>cannot <\/em>cash cheques past the OTP deadline and then claim the buyer failed to exercise the OTP. If you lose the cheque, damaged it etc., then you&#8217;re still bound by the OTP, even if the seller has to re-issue a new cheque past the deadline.<\/p>\n\n\n\n<p>The sensitive issue is when the cheque somehow gets to you late. For example, if the buyer sends a cheque to exercise the OTP, but because of courier issues, it arrives a day late. Make sure you clarify with your lawyer before signing the papers. <\/p>\n\n\n\n\n\n<p>Once the contract is signed by all parties and the buyer has paid the Option Fee, the Option to Purchase becomes a legally binding document.<\/p>\n\n\n\n\n\n<p>The seller keeps the Option fee. <\/p>\n\n\n\n\n\n<p>If the <strong>Buyer<\/strong> decides not to exercise the OTP by exercising it during the Option Period, they lose the Option fee. This means the <strong>Seller<\/strong> keeps the Option fee. <\/p>\n\n\n\n<p>Once the Option Period lapses without the Buyer exercising the OTP, the Seller can put the property up for sale in the open market again. <\/p>\n\n\n\n\n\n<p>If the <strong>Seller<\/strong> changes his\/her mind about selling their property, they have to refund the Option Fee to the <strong>Buyer<\/strong>.<\/p>\n\n\n","protected":false},"excerpt":{"rendered":"<p>The Option To Purchase (OTP) is not something we think about often; at least until something goes wrong.
